ONLINE TERMS AND CONDITIONS OF SALE FOR SIMONE À BORDEAUX PRODUCTS

FOR CONSUMER CUSTOMERS

These Terms and Conditions of Sale (“T&Cs”) set out the terms of online sales on the website www.simoneabordeaux.com (the “Site”) of products sold by JANE SAS, with share capital of €10,000, registered office at 44 Allées de Tourny, CS 92099, 33001 BORDEAUX CEDEX, registered with the Bordeaux Trade and Companies Register under number 889 879 540, with EU VAT number FR73889879540 (hereinafter “we” or “SIMONE À BORDEAUX”) to customers other than professional buyers (hereinafter “you” or the “Customer”). SIMONE À BORDEAUX and the Customer are also referred to individually as a “Party” and collectively as the “Parties”.

THIS DOCUMENT CONTAINS VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU. PLEASE READ IT CAREFULLY.

General Principles

BY PLACING AN ORDER ON THIS SITE, YOU CONFIRM THAT YOU UNRESERVEDLY ACCEPT AND ARE BOUND BY THESE T&Cs.
YOU MAY NOT ORDER OR HAVE PRODUCTS DELIVERED FROM THIS SITE IF YOU (A) DO NOT ACCEPT THESE T&Cs, (B) DO NOT HAVE THE LEGAL CAPACITY TO ENTER INTO CONTRACTS, OR (C) ARE NOT ENTITLED TO ACCESS OR USE THIS SITE UNDER APPLICABLE LAW.

Any amendment to these T&Cs will apply only to orders placed after the date of the amendment and will take effect as of the “Last Updated” date stated at the beginning of these T&Cs. You must review and accept these T&Cs before making any purchase on the Site.

Products

The products offered for sale are those listed on the Site, including jewelry and fashion accessories under the registered brand “SIMONE À BORDEAUX®,” the essential characteristics of which are indicated in the description accompanying the products on our Site (the “Products”).

Products are photographed and described as faithfully and accurately as possible. However, errors or omissions may occur. Likewise, depending on the internet browser or screen used, Product colors may not match the actual colors.

Product offers are valid while stocks last. SIMONE À BORDEAUX reserves the right to withdraw any Product from sale on the Site at any time and/or to replace or modify any information associated with the Products shown on the Site.

Purchase for Personal Use

As a Customer, you declare that you purchase the Products for your personal use only, and not for resale, rental (free or paid), export, or any other use that would be strictly contrary to these T&Cs.

Ordering

The Customer places an order from the online catalog available on the Site.
All orders are placed exclusively via the Site.
PLEASE NOTE THAT ANY ORDER PLACED ON THE SITE IS AN ORDER WITH AN OBLIGATION TO PAY.

Any order implies acceptance of the description of the Products and the prices in effect on the day of the order.

To place an online order on the Site, the Customer must:

Fill their cart with one or more Products;
Log in with their email and phone number or password if they have a customer account;
Enter the billing and/or delivery address;
Choose the delivery method.

Once the order is completed, the Customer may review the Products ordered, the total price of the order, and the order terms. They select their payment method and may, if necessary, modify or go back before final validation.

The order will be finally recorded only upon the last validation of the order summary screen. From that point:

The Customer confirms the order and declares acceptance thereof, as well as full and unconditional acceptance of these T&Cs; and
The order is considered irrevocable and may be challenged only in the limited cases set out herein.

Order Confirmation

As soon as the Customer’s order is recorded, a detailed acknowledgment is sent to the email address previously provided. This acknowledgment states the exact amount charged, the Products ordered and their quantity, the delivery arrangements, and refers to these T&Cs.

This acknowledgment constitutes acceptance of the order by SIMONE À BORDEAUX and validates the transaction. The Customer accepts that order logging systems serve as proof of purchase and its date. By keeping and/or printing this email, the Customer has proof of the order, which SIMONE À BORDEAUX recommends retaining.

This email confirms that the Customer’s order has been taken into account by SIMONE À BORDEAUX and not that the Product ordered is available.

SIMONE À BORDEAUX undertakes to fulfill online orders only within the limit of available stocks.
If the ordered Products are unavailable, SIMONE À BORDEAUX undertakes to inform the Customer as soon as possible by email or phone. In case of unavailability, the Customer may cancel or modify the order. In case of cancellation due to unavailability, the Customer will be refunded within fourteen (14) days from receipt of the cancellation request, by re-credit to the bank card, PayPal account, or other (according to the original payment method). Products that are available and ordered at the same time cannot be canceled.

Prices and Delivery Charges

ORDERS ON THE SITE ARE ORDERS WITH AN OBLIGATION TO PAY.

Product prices are displayed on the Site; they are expressed in euros (EUR), inclusive of French taxes (French VAT and other taxes applicable on the order date), and exclude delivery charges and any import duties and taxes (the “Price”).

SIMONE À BORDEAUX reserves the right to change its Prices at any time, but Products will be invoiced based on the Prices in effect at the time the order is confirmed.

Delivery charges are calculated automatically and indicated before each order is validated. Delivery charges are borne exclusively by the Customer, except in the limited cases provided in Article 11 hereof relating to non-conformity or defect/vice of the Product. They include order processing and packaging.

Orders delivered to a country outside the European Union may be subject to taxes and customs duties applicable in the destination country, not included in the displayed Price or delivery charges, and payable by the Customer. SIMONE À BORDEAUX is unable to verify applicable customs duties and taxes in such cases. Customers are advised to check with the competent authorities in their country of residence.

Payment

Payment is made in euros, at the time of order, via PayPal, Apple Pay, or bank card. Payment within the meaning of this article means the actual availability of funds to SIMONE À BORDEAUX.

The Customer represents and warrants that (i) the payment information provided is accurate and complete, (ii) the Customer is authorized to use the relevant means of payment, and (iii) where applicable, the bank or payment institution will remit the amount paid in accordance with the order.

Upon order confirmation, the Customer may be redirected to the website of a payment intermediary (Stripe, PayPal, Apple Pay, etc., or the issuing bank of the credit card) and must follow the steps indicated there. Credit cards are subject to validation checks and authorization by the card issuer. If payment authorization is not received, SIMONE À BORDEAUX will not be liable for any delay or failure to deliver the ordered Products.

The Customer’s account is debited at the time of order.
Accepted cards include those bearing the “CB” logo and/or the “VISA,” “EuroCard,” “MasterCard,” and American Express brands.

Transaction Security

To optimize the security of online transactions, the Site uses an SSL (Secure Socket Layer) online payment system so that all means are implemented to ensure the confidentiality and security of data transmitted during online payment.

Our online payment system automatically checks access rights during card payment and encrypts all exchanges to guarantee confidentiality.

To benefit from safe SSL payment, the Customer must use browsers compatible with SSL.

Promotional Offers

Promotional codes cannot be combined; a promotional code may be used for a single order only.

Products on discount, on sale, or under promotional operations cannot be returned or refunded, except in the event of a major non-conformity not disclosed before purchase or if the Product is affected by a latent defect, and except in the event the right of withdrawal is exercised.

Promotional offers are valid within the dual limit of the offer’s validity period and available stocks.

Promotions granting a free piece of jewelry automatically apply to the least expensive item in the cart. Any return of one or more Products covered by the offer for refund will be checked: if the free product is returned, no refund will be issued. If another product covered by the offer is returned (as part of a special promotion), the free product must also be returned. To obtain a full refund, all products covered by the offer must be returned in accordance with our T&Cs return conditions.

Delivery

For the purposes of these T&Cs, “delivery” shall be deemed to have taken place, or the order deemed “delivered,” on the date when the package (i) for a “tracked letter”: appears as “delivered/arrived” in La Poste tracking, or (ii) for a delivery requiring the recipient’s signature: at the time the delivery receipt is signed.

Subject to Article 2 above concerning Product availability, and except in cases of force majeure, SIMONE À BORDEAUX will endeavor to deliver the Product(s) to you under the following conditions:

Delivery Address

It is the Customer’s responsibility to carefully enter their delivery address at the time of order. In case of errors or inaccuracies in the Customer’s contact details, SIMONE À BORDEAUX cannot be held liable for the impossibility of delivering the order.

Delivery Times

Delivery within Mainland France
In Mainland France, parcels are delivered, depending on the Customer’s choice when ordering, by La Poste via “tracked letter” or “Chronopost.”
The delivery time is a maximum of fourteen (14) days from receipt of payment by SIMONE À BORDEAUX.

Delivery outside Mainland France
Outside Mainland France, parcels are delivered within a reasonable time from receipt of payment by SIMONE À BORDEAUX.

Delivery delays may occur due to unforeseen circumstances (strikes, road blockages, supplier delivery delays, etc.) or for reasons related to the delivery location.

If we are unable to meet the delivery time indicated above, for any reason, we will inform you by email and offer you either to keep your purchase with a new delivery date or to cancel your order and receive a full refund of the amount you paid.

If the delivery deadline is not met and this is confirmed by the Customer, the Customer must inform SIMONE À BORDEAUX by sending a message via the “Contact” section of the Site.
In such case, the Customer may choose either (i) to arrange a new delivery subject to a new delivery period starting from the date the Customer notified SIMONE À BORDEAUX of this choice in writing, or (ii) to cancel the order and receive a full refund of the amount paid.

Any order cancellation under the above conditions will be confirmed in writing and followed by a refund of all sums paid within fourteen (14) days from the date of order cancellation.

Failure to comply with delivery times shall not give rise to any compensation.

Receipt of Products

On delivery, if the parcel or Products are damaged or show an apparent defect, the Customer must refuse delivery and, where applicable for the chosen delivery method, note a specific reservation on the delivery slip (damaged packaging, non-conformity with the order, etc.) and notify SIMONE À BORDEAUX in writing within 24 hours from the date of refusal, via the Site contact form. SIMONE À BORDEAUX may ask the Customer to provide photos of the parcel and/or the allegedly damaged or defective Products.

By accepting the parcel(s)/Products without making the above reservations, the Customer is deemed to have accepted the Products as undamaged and free from apparent defect.

By reporting damage or apparent defect to the parcel and/or Product, the Customer will obtain a return authorization from SIMONE À BORDEAUX specifying the return address and procedures.

Once the return authorization is obtained, the Customer must return the Products to SIMONE À BORDEAUX at the address and according to the procedures indicated in the authorization.

Any Product returned without SIMONE À BORDEAUX’s agreement will be refused and returned to the sender at their expense and risk.

To be validly returned and/or exchanged, Products must not have been used and must be returned intact in their original packaging with any accessories (including the “Simone à Bordeaux” pouch), user manuals, and other documentation.

If the Customer returns a Product for an apparent non-conformity confirmed by SIMONE À BORDEAUX, the Customer must use the same shipping method as chosen for delivery. In such case, return shipping costs will be covered by SIMONE À BORDEAUX, subject to providing proof of shipping costs. Otherwise, no reimbursement may be claimed.

Transfer of Risk and Title to the Products

The Customer bears the risks related to the Products from delivery.
Title to the Products is transferred to the Customer only upon receipt of full payment of the sums due to SIMONE À BORDEAUX for the sale, or upon delivery if it takes place at a later date than payment.

Right of Withdrawal (applicable to residents of the European Union)

Customers residing in an EU Member State have a right of withdrawal of fourteen (14) days from the day after receipt of the ordered Products. If the period expires on a Saturday, Sunday, or public/bank holiday, it is extended to the next working day.

To allow the Customer to exercise this right, a withdrawal form link will be provided at order confirmation. The withdrawal form is also available at any time by clicking here.

The direct costs of returning Products following the exercise of the right of withdrawal are borne by the Customer.

Products must be returned in their original packaging (including the “Simone à Bordeaux” pouch in which they were delivered), in perfect condition and accompanied by the purchase invoice, within fourteen (14) days from the notification by the Customer to SIMONE À BORDEAUX of the decision to withdraw.

Exercising the right of withdrawal under the above conditions cancels the sale made on the basis of these T&Cs.

The right of withdrawal may be exercised via the Site by means of a clear written statement expressing the Customer’s wish to withdraw, made via the “Contact Us” section, in which case an acknowledgment of receipt will be sent immediately.

If the Customer exercises the right of withdrawal, SIMONE À BORDEAUX will refund the Customer the Price of the order and the delivery charges paid at the time of the order within fourteen (14) days from the day SIMONE À BORDEAUX is informed of the Customer’s decision to withdraw.

The refund method will be the same as the payment method used by the Customer for the initial transaction. Notwithstanding the foregoing, SIMONE À BORDEAUX may defer the refund until the Products are received back or until the Customer has provided proof of return, whichever occurs first, even if this exceeds fourteen (14) days from the day SIMONE À BORDEAUX is informed of the Customer’s decision to withdraw.

SIMONE À BORDEAUX and the Customer may also agree to a refund by credit note or voucher, or an exchange of the relevant Products.
Damaged Products are not refunded.

The right of withdrawal may not be exercised in particular for sales of:

Goods made to the Customer’s specifications or clearly personalized;
Digital content not supplied on a tangible medium where performance has begun after the Customer’s prior express consent and express waiver of the right of withdrawal.

Accordingly, e-gift cards and SIMONE À BORDEAUX gift cards whose use began before the expiry of the 14-day period, as well as personalized cards, are expressly excluded from the right of withdrawal.

Warranties

WARRANTIES PROVIDED BY SIMONE À BORDEAUX ARE LIMITED TO THE MANDATORY LEGAL WARRANTIES AVAILABLE TO THE CUSTOMER.

If you are a consumer residing in France, the following provisions apply:
France: Legal warranty of conformity and warranty against hidden defects. Hidden defects are defects existing at the time of purchase (excluding, for example, normal wear and tear) that render the Product unfit for its intended use or reduce its usefulness to such an extent that you would not have purchased it or would have paid a lower price.

If you are a consumer residing in a country other than France, specific provisions applicable in your country of residence may apply.

Liability

Information on the Site

SIMONE À BORDEAUX uses its best efforts to ensure, to the extent possible, the accuracy and updating of information on the Site, which it reserves the right to modify at any time and without notice. However, it cannot guarantee the accuracy, precision, or completeness of the information appearing on the Site. Consequently, it declines all liability for inaccuracies, errors, or omissions concerning the available information, as well as any liability for damages resulting from fraudulent intrusion by a third party leading to modification of the information contained on the Site.

Hyperlinks set up from the Site to other resources on the Internet shall not engage SIMONE À BORDEAUX’s liability. SIMONE À BORDEAUX has no means of controlling websites connected to its Site, of which the Customer is expressly informed under these T&Cs. The risks relating to such use lie entirely with the internet user, who must comply with the terms of use specific to each site.

Similarly, photographs and texts reproducing and illustrating the Products on the Site are not contractual. SIMONE À BORDEAUX therefore cannot be held liable in the event of an error in any of these photographs or texts.

Finally, SIMONE À BORDEAUX uses its best efforts to display as accurately as possible the colors of the Products offered on the Site. However, screen resolution on computers, tablets, and smartphones varies from one device to another; therefore, SIMONE À BORDEAUX cannot guarantee 100% accurate color rendering.

Conformity of Products with Applicable Standards

The Products offered comply with the regulations and standards in force in France at the time of sale.

Use of the Site

Use of and navigation on the Site are the Customer’s responsibility. SIMONE À BORDEAUX disclaims liability and shall not be responsible for any damage or viruses that may affect computer equipment or any other material when accessing, using, or browsing the Site, or downloading any content, data, text, images, or files from the Site.

Improper Use of the Product

SIMONE À BORDEAUX disclaims liability and shall not be responsible for any damage caused to the Customer or a third party due to use of the Product not in accordance with its intended purpose.

Protection of Personal Data

SIMONE À BORDEAUX is committed to protecting Customers’ personal data. SIMONE À BORDEAUX’s Privacy Policy [LINK] governs the processing of all personal data collected from Customers in connection with their purchase of Products on the Site.

Cost of Using a Remote Communication Technique

Access to the Site is via the internet.
Internet access costs via any remote communication service are borne by the Customer.

15. Archiving – Access to the Contract

Your order is archived on our server, and you may request access to a copy of the order at any time by writing via the contact form.

Force Majeure

Any event beyond the control of either Party and against which it could not reasonably protect itself constitutes force majeure and suspends its contractual obligations. Force majeure events include, in particular, floods, fires, earthquakes, explosions, government orders or decrees, war or other armed conflicts, terrorist threats or acts, riots, epidemics, strikes or other labor disputes (whether or not involving our staff), restrictions or delays affecting carriers, unavailability or delivery delays of raw materials or components, and telecommunications or power outages.

Intellectual Property

The Customer has no intellectual or industrial property rights over the Products, packaging, or packing; SIMONE À BORDEAUX remains the exclusive owner of all such rights.

Any use in any manner by the Customer of the trademark “SIMONE À BORDEAUX®” or any other trademark belonging to SIMONE À BORDEAUX or its suppliers and manufacturers is strictly prohibited, unless authorized by SIMONE À BORDEAUX.

The content and structure of the Site, and the texts, descriptions, illustrations and images published on the Site by SIMONE À BORDEAUX are protected by copyright and intellectual property rights worldwide.

Accordingly, and in accordance with the French Intellectual Property Code, only private use is authorized, subject to different or more restrictive provisions of the Code.

Any reproduction or representation, in whole or in part, of any content on the Site (including any text, image, iconographic or photographic representation, trademark, or logo) for any purpose and on any medium constitutes infringement and is punishable under intellectual property laws, unless prior authorization is obtained from SIMONE À BORDEAUX.

Failure to comply with this prohibition constitutes infringement and may incur the civil and criminal liability of the infringer.
Nothing in these T&Cs shall be interpreted as conferring on the Customer a license over any intellectual property right.

Written Communications

Under applicable regulations, SIMONE À BORDEAUX is required to send certain information or communications to the Customer in writing. By using this Site, the Customer agrees that communications with SIMONE À BORDEAUX will be primarily electronic. SIMONE À BORDEAUX will contact the Customer by email or inform the Customer by means of alerts displayed on the Site, as applicable subject to the processing of the Customer’s data in accordance with Article 13 “Protection of Personal Data.” For contractual purposes, the Customer agrees to the use of this electronic means of communication and accepts that all contracts, notices, information, and other messages sent electronically comply with legal requirements that such communications be in writing.

It is understood that notices are properly given and received at the time they are posted on the Site, 24 hours after an email has been sent, or three (3) days from the date of posting of any letter. To prove that a notice has been served, it will suffice to show, in the case of a letter, that the address was correctly written and the letter properly stamped and posted; in the case of an email, that it was sent to the recipient’s stated email address.

Miscellaneous

The fact that SIMONE À BORDEAUX does not invoke any provision of these T&Cs at any given time cannot be interpreted as a waiver of the right to invoke it later.

If one or more provisions of these T&Cs are held to be invalid or declared as such pursuant to a law, regulation, or final judgment of a competent court, the other provisions shall remain in full force and effect.

These T&Cs are written in French. A translation into another language may be provided depending on the Customer’s country of domicile. In case of discrepancy between the French version and a translation, the French version shall prevail.

Governing Law – Dispute Resolution

These T&Cs are governed by French domestic law, to the exclusion of any international convention.

In the event of a dispute relating to these T&Cs or the sale, the Parties will make their best efforts to resolve their dispute amicably. To this end, the Customer must send SIMONE À BORDEAUX their claim by writing via the contact form entitled “Complaint,” or by emailing the registered office of SAS JANE SIMONE À BORDEAUX: 44 Allées de Tourny, CS 92099, 33001 BORDEAUX CEDEX.

If no amicable agreement is reached within one month, the Customer may, in any event, resort to conventional mediation or any other alternative dispute resolution method and, in particular, may—free of charge within one year from their prior claim to SIMONE À BORDEAUX—turn to the following consumer mediator, under the conditions set out in Article L. 612-1 of the French Consumer Code and following provisions relating to the extrajudicial settlement of consumer disputes:

The Customer may also seek to resolve the dispute via the European online dispute resolution platform provided for by Regulation (EU) No 524/2013 of May 21, 2013 on online dispute resolution for consumer disputes, including cross-border disputes:

If mediation fails, or if the Customer does not wish to use it, any disputes to which transactions concluded under these T&Cs may give rise, concerning their validity, interpretation, performance, termination, consequences and aftermath, and which cannot be resolved amicably, shall be submitted to the competent courts.
